Terms of Service
- Noteshell runs on your computer. Your notes are ordinary files on your disk, and they stay yours — we claim nothing in them.
- The beta is free and unfinished. It can break, and it can lose work. Keep your own backups.
- Use it lawfully. Don’t attack it, resell it, or take it apart.
- These terms will grow as the product does. The date above always shows the current version.
1. Who you’re agreeing with
Noteshell (“we”, “us”) makes and runs the Noteshell desktop app and this website — together, “Noteshell”. By downloading, installing or using either, you agree to these terms. If you don’t agree with them, don’t use it.
2. Who can use it
You need to be at least 13 — older, if the country you’re in sets a higher age for agreeing to something like this on your own, in which case a parent or guardian has to agree for you. If you’re installing Noteshell for an employer or a school, you’re confirming you’re allowed to accept these terms on their behalf.
3. The beta
Noteshell is pre-release software. Features appear, change and disappear; things that worked last week may not work this week. There is no Noteshell server holding a copy of your work, which means the only copy is the one on your machine and whatever backup you keep yourself. We don’t promise availability, and we may change, suspend or end the beta at any time.
4. Your work is yours
Everything you make in Noteshell — notes, reports, dashboards, widgets, datasets — belongs to you. We claim no ownership of it and take no licence to use it. It lives as ordinary files in a folder you chose, so you can copy that folder, move it, or open it with any other program, at any time, with or without us.
5. Your licence to use Noteshell
For as long as the beta runs, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Noteshell on machines you control. The software itself is proprietary. You may not redistribute, sell, rent, sublicense or host it as a service, and you may not reverse-engineer, decompile or disassemble it, except to the extent the law grants you that right regardless of what we write here.
6. Acceptable use
- Don’t use Noteshell to break the law, or to hold material you have no right to hold.
- Don’t try to gain unauthorized access to any part of the service, or to anyone else’s data.
- Don’t attack, overload or disrupt the website, the download endpoint, or the update feed.
- Don’t remove or work around the notices and limits built into the software.
7. Accounts and services you connect
Noteshell can connect to accounts you already have — GitHub, Google Drive and Calendar, Slack, Linear, Notion — read public data from LeetCode, and reach an AI provider with credentials you supply. Those relationships are between you and them: their terms, their pricing and their limits apply, and we aren’t responsible for what they do or change. You’re responsible for having the right to connect an account and to bring its contents into your workspace. What actually travels where is set out on the Privacy page.
8. What the agent writes, and what it does
Noteshell can generate text, code, reports and images, and — when you ask it to — it can run code and change files inside your workspace. That is the point of the product, and it means you should read what it did. Models also get things wrong: check anything that matters before you rely on it, and don’t treat what the agent writes as professional advice.
Generated images arrive marked as AI-generated. The default image model is Google’s, and what it returns carries an invisible SynthID watermark in the pixels, a signed provenance record, and metadata reading “Made with Google AI”. Noteshell writes back what the provider sent; where it has to shrink a large image to fit inside a report, that re-encode does not carry the metadata across, but the picture is a generated one either way. Treat it as such — don’t pass one off as a photograph.
9. No warranty
Noteshell is provided “as is” and “as available”, without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that it will be uninterrupted or error-free, or that it will not lose data.
10. Limits on liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost data or lost work, arising out of your use of Noteshell. Where liability cannot be excluded, it is limited to the greater of what you paid us in the previous twelve months — during the free beta, nothing — or US$50.
11. Ending it
You can stop at any time: delete the app. Your files stay exactly where they are, because they were never anywhere else. We may suspend or end your access if you break these terms, or when the beta ends.
12. Reporting a security problem
If you find a vulnerability, tell us before you tell anyone else. Email hello@noteshell.io with SECURITY in the subject, and describe what you found and how to reproduce it. Please don’t test against machines or data that aren’t yours, and please hold the details until there’s a fix. Report something in good faith while following that, and we won’t come after you for it.
13. Changes to these terms
These terms will change as Noteshell grows — when paid plans arrive, they will need to say a great deal more. The date at the top shows the current version, and continuing to use Noteshell after a change means you accept it.
